Welcome to Peers Chain ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website and services related to mobile app development, web development, and technical consulting.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

2. Services

2.1 Service Offerings

Peers Chain provides the following services:

  • Native iOS app development

  • Cross-platform mobile app development (React Native, Flutter)

  • Full-stack web development (React, Next.js, Node.js, Python)

  • Custom backend and API development

  • Technical consulting and idea validation

  • No-code/low-code web development (Webflow, Framer)

2.2 Service Scope

All services are provided on a project basis with defined scope, timeline, and pricing as outlined in individual project proposals or agreements. Services may be modified based on mutual agreement between Peers Chain and the client.

2.3 Custom Development

Our development services are tailored to each client's specific needs. Deliverables, timelines, and pricing are documented in project-specific agreements that supplement these Terms.

3. Pricing and Payment

3.1 Pricing

Project pricing is provided in written proposals and is valid for 30 days from the proposal date. Prices are quoted in USD and are subject to change based on project scope modifications.

3.2 Payment Terms

Standard payment structure for projects:

  • 30% deposit upon project commencement

  • 30% upon development milestone (typically week 4-5)

  • 30% before final delivery/deployment

  • 10% upon project completion and client acceptance

3.3 Payment Methods

We accept payments via:

  • Bank transfer (wire transfer)

  • Credit card (via Stripe)

  • PayPal

  • Cryptocurrency (for international clients, subject to agreement)

3.4 Late Payments

Payments not received within 7 days of the due date may result in:

  • Project work suspension until payment is received

  • Late fee of 5% of the outstanding amount

  • Termination of the project agreement for payments overdue by 30+ days

3.5 Refund Policy

  • Deposits are non-refundable once work has commenced

  • Refunds for work not yet completed may be considered on a case-by-case basis

  • No refunds after final delivery and client acceptance

4. Project Timeline

4.1 Estimated Timelines

Project timelines are estimates based on the agreed scope and assume:

  • Timely client feedback and approvals

  • Availability of required assets and information

  • No major scope changes during development

4.2 Timeline Delays

Peers Chain is not liable for delays caused by:

  • Client delays in providing feedback, approvals, or required materials

  • Third-party service delays (App Store review, hosting providers, etc.)

  • Force majeure events (natural disasters, pandemics, wars, etc.)

  • Scope changes requested by the client

4.3 Expedited Timeline

Rush delivery (faster than standard timeline) may be available for an additional fee of 25-50% of the project cost, subject to availability and project complexity.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients receive:

  • Full ownership of custom code developed for their project

  • Source code repository access (GitHub or similar)

  • All design files created for the project

  • Complete intellectual property rights to the deliverables

5.2 Pre-Existing Materials

Peers Chain retains ownership of:

  • Pre-existing code libraries, frameworks, and tools

  • Development methodologies and processes

  • Template code and reusable components

  • General knowledge and expertise

5.3 Third-Party Components

Projects may include third-party libraries, frameworks, or services subject to their own licenses (e.g., React, Next.js, open-source libraries). Clients must comply with these third-party licenses.

5.4 Portfolio Rights

Peers Chain reserves the right to:

  • Showcase completed projects in our portfolio

  • Use project screenshots and descriptions for marketing purposes

  • Reference the client relationship (unless confidentiality is agreed upon)

Clients may request exclusion from our portfolio on a case-by-case basis.

6. Confidentiality

6.1 Confidential Information

Both parties agree to keep confidential any proprietary information shared during the project, including:

  • Business strategies and plans

  • Technical specifications and architecture

  • User data and analytics

  • Financial information

  • Trade secrets

6.2 Non-Disclosure Agreement (NDA)

Clients may request a separate NDA for projects requiring additional confidentiality protections. NDAs must be signed before project commencement.

6.3 Exclusions

Confidentiality obligations do not apply to information that:

  • Is publicly available

  • Was known prior to disclosure

  • Is independently developed

  • Must be disclosed by law

7. Client Responsibilities

7.1 Information and Materials

Clients must provide:

  • Timely and accurate project requirements

  • Access to necessary accounts and systems

  • Feedback and approvals within agreed timeframes (typically 3-5 business days)

  • Content, images, and other required assets

7.2 Third-Party Services

Clients are responsible for:

  • Obtaining and maintaining third-party services (hosting, domain names, API keys)

  • Apple Developer Account ($99/year) and Google Play Developer Account ($25 one-time)

  • Compliance with third-party terms of service

  • Costs associated with third-party services

7.3 Legal Compliance

Clients must ensure their project:

  • Complies with applicable laws and regulations

  • Does not infringe on third-party intellectual property

  • Includes necessary terms of service, privacy policies, and legal disclaimers

  • Does not facilitate illegal activities

8. Warranties and Disclaimers

8.1 Our Warranty

Peers Chain warrants that:

  • Services will be performed with professional skill and care

  • Deliverables will substantially conform to agreed specifications

  • Code will be free from major defects at time of delivery

8.2 Support Period

Projects include post-launch support as specified in the project agreement (typically 30-90 days), covering:

  • Bug fixes for issues present at launch

  • Minor adjustments and tweaks

  • Assistance with deployment and configuration

  • App Store/Google Play submission issues

8.3 Limitations

We do not warrant that:

  • Software will be error-free or uninterrupted

  • Software will meet all client expectations not explicitly agreed upon

  • Third-party services will function as expected

  • Apps will achieve specific download numbers, revenue targets, or user growth

  • Apps will be approved by App Store or Google Play (though we have 95% approval rate)

8.4 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

9.1 Maximum Liability

Peers Chain's total liability for any claims arising from services provided shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

9.2 Excluded Damages

IN NO EVENT SHALL PEERS CHAIN BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Loss of data or information

  • Cost of substitute services

  • Damage to reputation

  • App Store or Google Play rejections or account suspensions

9.3 Client Indemnification

Client agrees to indemnify and hold Peers Chain harmless from claims arising from:

  • Client's use of deliverables

  • Client's violation of third-party rights

  • Client-provided content or materials

  • Client's violation of applicable laws

  • Client's business operations

10. Termination

10.1 Termination by Client

Clients may terminate projects with written notice. Upon termination:

  • Client pays for all work completed to date

  • Client receives deliverables for completed phases only

  • No refund of payments for completed work

  • Source code for incomplete work may be withheld until full payment

10.2 Termination by Peers Chain

We may terminate projects if:

  • Client fails to make payments after 30 days past due

  • Client materially breaches these Terms

  • Client requests illegal or unethical work

  • Client is unresponsive for 30+ days

  • Circumstances make project completion impractical

10.3 Effect of Termination

Upon termination:

  • All outstanding invoices become immediately due

  • Each party returns confidential information

  • Licenses granted terminate (except for fully paid deliverables)

  • Sections that by nature should survive will remain in effect

11. Scope Changes

11.1 Change Requests

Clients may request scope changes at any time. Changes requiring significant additional work will require:

  • Written change order with revised timeline and pricing

  • Client approval before proceeding

  • Adjustment to payment schedule if necessary

11.2 Minor Changes

Minor tweaks and adjustments within the original scope are included at no additional cost. Major feature additions, architectural changes, or significant redesigns are considered scope changes and will be quoted separately.

11.3 Impact on Timeline

Scope changes may impact project timeline. Revised timelines will be communicated and agreed upon in writing before proceeding with changed scope.

12. Hosting and Maintenance

12.1 Hosting

Unless otherwise agreed:

  • Client is responsible for hosting costs ($50-$500/month depending on traffic)

  • We assist with initial deployment and setup

  • Client owns hosting accounts and access credentials

  • We recommend specific hosting providers based on project needs

12.2 Ongoing Maintenance

Post-support period maintenance is available as:

  • Monthly retainer ($2,000-$10,000/month depending on complexity)

  • Hourly rate ($150-$250/hour)

  • Project-based pricing for major updates

12.3 Software Updates

After the support period, clients are responsible for:

  • Keeping software updated and secure

  • Security patches and dependency updates

  • Compatibility with new OS versions (iOS updates, Android updates)

  • Third-party API changes

We offer maintenance packages to handle these updates.

13. App Store and Google Play

13.1 Submission Assistance

We provide:

  • App Store and Google Play submission

  • App Store Optimization (ASO) - screenshots, descriptions, keywords

  • Response to review rejections

  • Resubmission until approval

13.2 No Guarantee of Approval

While we have a 95% first-time approval rate:

  • We cannot guarantee App Store or Google Play approval

  • Final approval decisions are made by Apple and Google

  • We will work to resolve rejection issues at no additional cost during the support period

13.3 Account Requirements

Clients must:

  • Provide their own Apple Developer Account ($99/year)

  • Provide their own Google Play Developer Account ($25 one-time)

  • Comply with all App Store and Google Play policies

  • Maintain active accounts for app distribution

14. Data and Privacy

14.1 Client Data

During projects, we may access:

  • Project files and source code

  • Analytics and user data (for optimization)

  • API credentials and access tokens

  • Business information

All client data is handled confidentially and securely.

14.2 Data Security

We implement reasonable security measures including:

  • Secure file transfer and storage

  • Encrypted communications

  • Limited access to sensitive information

  • Regular backups during development

14.3 Data Retention

After project completion:

  • We retain project files for 90 days for support purposes

  • Client is responsible for maintaining their own backups

  • Upon request, we will securely delete all client data

15. Force Majeure

Peers Chain is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)

  • Pandemics or public health emergencies

  • Wars, terrorism, or civil unrest

  • Government actions or regulations

  • Internet or telecommunications failures

  • Third-party service outages (GitHub, AWS, etc.)

16. Dispute Resolution

16.1 Good Faith Negotiation

Any disputes shall first be addressed through good faith negotiation between the parties.

16.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing legal action.

17. General Provisions

17.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements or understandings.

17.2 Amendments

Peers Chain may update these Terms at any time. Continued use of services after changes constitutes acceptance of modified Terms. Project-specific agreements signed before changes remain under original Terms.

17.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

17.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

17.5 Assignment

Clients may not assign their rights or obligations under these Terms without our written consent. We may assign our rights and obligations to affiliates or successors.

17.6 Independent Contractor

Peers Chain is an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
